Terms and Conditions for Infinite Mindshifts

1. Introduction & Agreement

Welcome to Infinite Mindshifts. We provide leadership coaching & consulting, and professional development services to CEOs, executives, and senior professionals.

These Terms and Conditions govern your use of our website, and your engagement with our Services. By accessing our website or engaging our Services, you agree to be bound by these Terms in full. If you do not agree with any part of these Terms, you must not use our website or Services.

2. Description of Services

Our Services are designed to support your professional and personal growth. This may include one-on-one coaching, group coaching workshops, training, consulting sessions, and digital resources. The specific scope, goals, and details of the Services provided will be outlined in a separate Service Agreement or Proposal agreed upon by both parties.

Client Acknowledgment: You understand and agree that our Services are not a substitute for professional advice from qualified experts in other fields. Our coaching and consulting services are not therapy, counseling, or a substitute for mental health care. Furthermore, we do not provide legal, financial, or medical advice. You are responsible for seeking independent professional guidance for such matters.

3. Client Responsibilities

As a Client, you agree to:

• Provide accurate and complete information to us.
• Be fully present, engaged, and committed to the coaching/consulting process.
• Understand that you are fully responsible for the decisions, actions, and results you achieve in your life and career.
• Communicate honestly, be open to feedback, and dedicate the time and energy necessary to achieve your desired outcomes.
• Make all payments on time as per the agreed-upon schedule.

4. Fees, Payment, and Refunds

• Fee Structure: The fees for our Services will be detailed in your individual Service Agreement or invoice. Fees are quoted in USD.
• Payment Schedule: Payment is due in full prior to the commencement of Services. 
• Late Payments: We reserve the right to suspend Services until the full payment is received.
• Refund Policy: Due to the nature of our Services and the commitment of our time and resources, all fees are non-refundable once paid. There are no refunds for unused sessions or for early termination of the agreement by the Client.

5. Confidentiality

We are committed to maintaining the highest level of confidentiality.

• Our Obligation: We agree to keep all information you share with us, including business strategies, personal information, and proprietary data strictly confidential. We will not disclose your Confidential Information to any third party without your express written consent, except as required by law.
• Your Obligation: You agree to keep all proprietary information, methods, materials, and trade secrets shared by the Infinite Mindshifts confidential.
• Exceptions: The obligation of confidentiality does not apply to information that is (a) publicly known, (b) independently developed without reference to the other party's information, or (c) required to be disclosed by law or a court order.

6. Intellectual Property

All materials provided to you as part of the Services, including but not limited to worksheets, frameworks, presentation slides, audio, and video content, are the intellectual property of Infinite Mindshift. These materials are for your personal, non-commercial use only. You are granted a limited, non-exclusive, non-transferable license to use these materials for the purpose of your coaching/consulting engagement. You may not reproduce, distribute, modify, or create derivative works from our materials without our prior written consent.

7. Disclaimer of Warranties & Guarantees

While we are fully committed to your success, you understand that the Company cannot and does not guarantee any specific outcomes or results. Your success depends on many factors, including your own effort, commitment, and follow-through. All Services are provided on an “as is” basis without any warranties, express or implied.

8. Limitation of Liability

To the fullest extent permitted by law, the Company, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from your engagement with our Services.

9. Term and Termination

• Term: The term of the coaching/consulting relationship will be outlined in your Service Agreement.
• Termination by Us: We reserve the right to terminate the Service Agreement at any time if you fail to comply with these Terms, fail to make timely payments, or engage in conduct that we, in our sole discretion, deem to be disruptive or harmful.
• Termination by You: You may terminate the Service Agreement as per the conditions outlined within that agreement. Please note that termination does not entitle you to a refund of any fees already paid.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.
